Accreditation

General GTC for the provision of services on the internet portal hereinafter referred to as the “CeMS website”.
 

CeMS, s.r.o., with registered office at Snežienkova 1/A, 971 01, Prievidza, Slovak Republic Company ID: 35 891 823, VAT ID: 2021849049, TAX ID: SK2021849049, registered in the Commercial Register of the Trenčín District Court, section Sro, file no. 16830/R, (hereinafter referred to as the "Provider")
issues the following General Terms and Conditions (hereinafter referred to as the “GTC”) with effect from 01.01.2022:
 

I. Introductory provisions

These GTC govern the rights and obligations of the contracting parties resulting from contracts for the provision of services on the CeMS website, concluded between the Provider and the user, the subject of which is the use of services on the CeMS website. If the user of the services does not agree to comply with them, he cannot use the services on the CeMS website.
The contracting parties have agreed that these GTC will apply to all contracts for the provision of services (ordering paid services) from the date of their acceptance by the user, on the basis of which the Provider will provide the user with the agreed services.
For the purposes of these GTC, "e-learning" is defined as a distance form of education using information and communication technologies. It is self-study according to the established study plan. E-learning uses a variety of multimedia content such as presentations, texts, links, video, animated sequences, voice comments, shared desktops, custom notes and quizzes. The e-learning course is available on the Provider's website for a specified time.
In the event that the Provider and the user enter into a written contract in which they agree on conditions that conflict with these GTC, the provisions of the contract will take precedence over the wording of the GTC.


II. Method of concluding contracts for the provision of services (ordering paid services)
Contracts for the provision of services (order for paid services), to which these general GTC apply, will be concluded in the following manner:
In case of interest in paid services, the user fills out the order form (registration form) according to the model provided by the Provider as well as based on these GTC published on its website. In the order (registration form), it is obligatory to fill in all the required data correctly, the customer is responsible for the correctness of the data. In case of interest in changing the provided data, the customer provides the changed data to the e-mail address info@cems-en.com. The data will be changed only after their written confirmation by the operator.
The completed order (registration form) is delivered by the user to the Provider as a proposal for concluding a contract for the provision of services. The Provider accepts the order and confirms the ordered services no later than 5 working days after its dispatch. The proposal for concluding a contract for the provision of services is valid from the moment it is delivered to the Provider. In case of activation of online services, these will be activated no later than 5 working days from the delivery of the order.
The invoicing of ordered services takes place depending on the valid price list published on the Provider's website.


After signing up for the training and confirming the receipt of the order, the operator is entitled to issue an advance invoice based on the sent order with a maturity of 14 days from the date of submission of the application for the provision of educational services.
For the services provided online ("e-learning") and the course package service, the Provider issues an invoice with a maturity of 14 days after receiving the order, based on the calculation of the total price, which is stated in the received order from the Provider. If it is a flat-rate service, the Provider will regularly invoice the amount agreed in the order. Online services will be provided only after receiving the payment to the Provider's account.

By concluding a contract between the Provider and the user, the general GTC become an integral part of it and are binding for the contracting parties.


III. Rights and obligations of the Provider
 

The Provider is obliged to:

  • in the case of an order for training services, inform the customer about the current status of opening the training date. In case of transfer of training services to another date, the Provider is obliged to inform the customer about the new date, which the customer confirms or rejects. In case of rescheduling or cancellation of the training date, the customer has the right to a refund of the entire amount paid, no later than 14 days from the receipt of the service cancellation request. In case of confirmation of a new training date by the customer, the same conditions apply as for the normal ordering of the mentioned service (the same conditions as for the original ordering of the training date).
    provide the service user with the proper services ordered by him.
  • when publishing data that is of a personal nature (in the case of submitters of natural persons), proceed in accordance with the Personal Data Protection Act.
  • when disseminating the entered data, as a disseminator of advertising, follow the law on advertising.

The Provider is entitled to:

  • to correct grammatical errors or inaccuracies in entered data (for example, change of category, change of activity name, change of personal data...) so that the principles of language culture, grammatical and spelling rules of the Slovak language and correctness of selected activity items are observed. The Provider is entitled to correct these errors without notifying the user. The Provider is not responsible for damages caused by making such a correction in the entered text or for damages that are claimed to have been caused by it.
  • The appearance of the CeMS website and its content, logo, icons, selection and arrangement of elements, their layout, graphics, links, conversions and other matters related to them are protected by copyright, trademark law and other industrial property laws within clauses all rights reserved. The user of the services does not acquire any rights to the elements viewed through the CeMS website. None of these elements may be used, copied, reproduced, distributed, recorded, modified or publicly displayed in any form or by any means, especially including electronic, mechanical, photocopying, recording or other devices, without the prior written consent of the operator. The Provider is not responsible for any damages caused by the non-functionality of the CeMS website, nor for any indirect damages that arise as a result of the use or impossibility of using the service or as a result of unauthorized access, even if the Provider has been notified of the possibility of such damages.

 

  IV. Rights and obligations of the user
 

The user is obliged to:

  • provide up-to-date and true data to the Provider in the registration form. At the same time, express consent to their processing and publication.
  • by filling in and confirming the registration form, express unconditional agreement with the wording and acceptance of these general GTC, which he is obliged to follow during the entire period of using the services on the CeMS website.
  • to pay the Provider the advance invoice issued on the basis of the services provided within the specified due date. The date of payment is considered to be the day when the invoiced amount was credited to the Service Provider's account.
  • not damage the good business name of the Service Provider and the services provided by him.
  • not disrupt the operating system of CeMS sites,
  • adhere to moral principles and therefore may not post any illegal, threatening, abusive, obscene, pornographic or defamatory material. The service Provider therefore reserves the right to monitor and censor the entered data.
  • in case of interest in publishing a protected sign or trademark, submit an authorization to use the protected sign or trademark. In such a case, the Client is obliged to send the Service Provider a copy of the certificate of registration of the trademark in the register, or an extract from the register, together with the order.
  • the same moral, ethical and legal rules apply to the use of an e-learning course as to any other form of public use of information.

V. Services provided, price list, sanctions and cancellation fees

The Provider provides ordered services to users under the conditions and at the prices stated in its current offer. The Provider's current offer of services as well as the price list of services are published on the CeMS website. In the event that the price for the mentioned service is not stated, it is possible to obtain a price quote upon request. In addition to the stated service prices, additional actions are charged according to the following price list:

  • €30 without VAT for the repeated issuance of a certificate of completion of education with correction of personal data (if the personal data were entered correctly and the error was the fault of the Provider, the correction is free of charge).
  • €40 without VAT for the issuance of a certificate of completion of education in any foreign language.
  • €20 without VAT for a printed certificate of completion of education, which will be sent to the address of the participant and the person ordering the online course or e-learning.

The standard maturity of CeMS invoices is within 14 days of issue. The interest on delay is set at the amount of 0.05% of the total owed amount of the invoice for each day of delay after the due date.

In case of confirmation of less than 5 participants for an open training, we reserve the right to cancel or change the date of the course, then we refund the payment for the course in full.


We reserve the right to change the course date in case of unexpected events. We are obliged to inform you about the change of date at least 24 hours before the start of the course.

In case of complete cancellation of the course, we return the paid payments in full to all participants within 5 working days.
 

In case of non-participation of the participant on the ordered date, it is possible to replace the date with a new one with an additional payment of 50% of the course price.

Access to the purchased e-learning education is valid for 1 year from the date of purchase. Unexpired accesses will expire. The use of the E-learning management application is possible only during the period of validity of the access.

Credit for the use of online training when purchasing course packages (basic, standard or premium) is valid for 1 year from the date of purchase. Unused credits become void. The use of credits is possible only during the period of validity of the credits.

Cancellation fees for opting out of public trainings:
 

  • Free cancellation is possible 31 days before the start of the course.
  • 30 - 15 days before the start of the course, a cancellation fee of 30% of the price is charged.
  • 14 - 7 days before the start of the course, a cancellation fee of 50% of the price is charged.
  • 6 - 1 days before the start of the course, a cancellation fee of 75% of the price is charged.
  • if the registered customer does not participate in the course, a cancellation fee of 100% will be charged.

 

The stated cancellation conditions apply even if no advance invoice has been issued. The invoice for the cancellation of the course application is issued within 14 days of the realization of the course for which the participant was registered. Changing the person of the participant is possible electronically at the address.....

We register the participant registered for the training only during the registration through our information system. We provide cooperation in the registration of our company to your supply system, as well as when satisfying your internal orders. It is not sufficient just to register a participant by sending your internal order.
Unsubscribing and implementing any changes in orders can only be done in writing.


We reserve the right to conduct training with a English level B2 / C1 /C2 speaking lecturer. If the training is planned in a language other than English, this information will be published in the description of the training / the entire description will be in a specific foreign language.
 

In-house / customized training:

Please note that due to the costs associated with the organization of the training, the Provider charges cancellation fees in case of cancellation / rescheduling the date of training.
No cancellation fees are charged for the first rescheduling of the training date caused by the customer. In the case of the second and subsequent rescheduling to a new date, cancellation fees of 50% of the course price are charged.
The stated cancellation conditions apply even if no advance invoice has been issued. A cancellation invoice is issued within 14 days of the originally planned implementation.
Unsubscribing and implementing any changes in orders can only be done in writing. We reserve the right to conduct training with a English level B2 / C1 /C2 speaking lecturer. If the training is planned in a language other than English, this information will be published in the description of the training / the entire description will be in a specific foreign language.
 

VI. Limitation of liability for defects and damages

The Provider declares that:

  • he provides services without legal defects and that he is authorized to grant usage rights to them,
  • is responsible to the user for enabling access to paid services to the extent according to the form of the contractual relationship and GTC,
  • flawless access to e-learning is compatible with the following software: Portal videos are streamed using HTML5 or Vimeo player. In case of problems playing videos on the portal, contact our customer support.
  • The responsibility of the Provider in cases of interruption or limitation of the provision of services due to reasons on the part of the Provider is limited to the user only to the obligation of the Provider to resume their provision. However, the Provider does not have this obligation in the event of complete termination of the provision of the product or service in accordance with the General GTC.

VIII. Final provisions
 

The relevant provisions of the Commercial Code (Act No. 513/1991 Coll., as amended) apply to relationships not regulated by these GTC. These GTC become effective for the user on the day of his registration with the Provider on the CeMS website. The User will be informed of any changes by the Service Provider.
Copyrights related to the Provider's courses are reserved. Any use of parts or the whole, in particular the reproduction and expansion of texts, photos or graphs by any mechanical or electronic means, even in a language other than Slovak, is prohibited without the written consent of the owner of the website www.cems-en.com.
These GTC also apply to users who use a different form of registration for courses than the CeMS portal
The user declares that he has read these GTC and, as a sign of agreement with their content, fills out his registration form in order to use the services of the Provider on the CeMS website.
